1. Acceptance of Terms

By accessing or using the services provided by EmploGroup (“Company”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our services.

2. Services Description

EmploGroup provides a range of human resources services, including but not limited to:

  • Recruitment and hiring services
  • HR consulting
  • Payroll and tax services
  • Contractor management
  • Employer of Record (EOR) services
  • HR outsourcing
  • Individual training and development

The specific services provided to you will be outlined in a separate agreement or statement of work.

3. User Responsibilities

In using our services, you agree to:

  • Provide accurate, complete, and current information as required for our services
  • Maintain the confidentiality of any passwords or access credentials associated with our services
  • Notify us immediately of any unauthorized use of your account or any other breach of security
  • Use our services in compliance with all applicable laws and regulations
  • Not use our services for any illegal or unauthorized purpose
  • Not attempt to interfere with the proper functioning of our services

4. Payment Terms

Payment terms for our services will be outlined in our specific service agreement with you. Unless otherwise specified:

  • Fees for our services are due in accordance with the payment schedule provided
  • All payments are non-refundable unless otherwise specified
  • We reserve the right to modify our fees with reasonable notice
  • Failure to make timely payments may result in suspension or termination of services

5. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of EmploGroup or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our services without our prior written consent.

6. Confidentiality

Each party agrees to keep confidential any proprietary or non-public information disclosed during the provision of services. This includes, but is not limited to, business strategies, employee information, financial data, and client information.

7. Data Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Limitation of Liability

To the maximum extent permitted by law, EmploGroup will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use our services
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from our services
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services

9. Indemnification

You agree to indemnify, defend, and hold harmless EmploGroup and its officers, directors, employees, agents, and representatives from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of our services or your violation of these Terms.

10. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms.

Upon termination, your right to use our services will immediately cease.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.
